After thoroughly understanding your operation and the level of the target that you aim to achieve in Japan, E.J.Spence commences setting up your company or your office in communication with your company. The process shall be carefully undertaken, while progress report shall be always compiled and confirmed.
It starts with “Executive Search”, “Recruitment” or “Head Hunting”.
A foreign company can setup a company in Japan without having a Japanese partner. However it is required to appoint a Representative or a Director who is a resident in Japan (of any nationality) by the Company Act.
High level of command or fluency of your language or English shall not be the top prioritized faculty requested to the person who represents or plays the important position in your operation in Japan.
Within ONE month from the conclusion of the contract and the receipt of the first month consultancy retainer fee, and also obtaining your requests on recruiting executives, “E.J.Spence” will provide you with the first list of candidates who have the relevant knowledge and career in your business field to represent your company in Japan.
Among those candidates, some may have the command of English and some may not. Selection shall not be made only by their skills of language, but their sufficient knowledge and careers in your business field. Their insufficiency of your language or English will be always complemented by “E.J.Spence”, and their knowledge and careers in your business field will be always yielded to bring success to your operation in Japan.
In this first list of candidates, “E.J.Spence” will always add remarks of recommendation.
These candidates shall be ready to work for your company on condition of salary, benefits, and other employment conditions. “E.J.Spence” recommends setting a probationary employment period of 3 months to 6 months, which dismissal is available with 30 days prior notice during this period. The employment will be direct employment by your company.
Salary may vary by the career and by industries. There will be no need to pay too much but never too less. E.J.Spence shall suggest an appropriate level of salary to recruit these eligible talented candidates.
* At the time of employment, E.J.Spence asks for 35% commission against annual salary of the recruited personnel. (Additional to E.J.Spence retainer fee)
E.J.Spence shall provide you with the list of candidate offices that will be serving as your branch office in Japan. As an example, a “shared office space” in Tokyo, that is equipped with telephone and internet, starts from 40,000 JPY per month.
After the representative and the new office being chosen, E.J.Spence will take care of the employment contract of the representative and the contract of the office rent.
Sometimes, your final choice on the representative and the office may take longer time, but E.J.Spence will keep providing you with further information of the candidates and the offices.
Please be noted, representative you have chosen from the candidate list may still be under employment in a company which is in the same business field as yours and may not be able to start working in your company from the next month. Employees in Japan are commonly requested to submit minimum 30 days prior notice for resignation. Some Japanese companies requests to submit 90 days prior notice.
After your firm decision of your new representative and the office being made,
E.J.Spence shall legally register your subsidiary company in Japan.
There are currently 4 different types of company registration in Japan:
- "Kabushiki Kaisha", Joint Stock Company, is run by shareholders with limited liability and by directors who are appointed by shareholders. This is the most common and prevailing form of incorporation in Japan, used by most major companies. Being the most credible form of company, it is easily recognized or trusted by Japanese companies.
- "Godo Kaisha" works in a similar way to what is known as LLC (limited liability company) in Western countries and has one or more partners with limited liability.
- "Goshi Kaisha" has at least one partner with unlimited liability and other partner(s) with limited liability.
- "Gomei Kaisha" consists of partners with unlimited liability.

- Charge for notarization of the article of incorporation: 50,000JPY To Notary Public's office
- Charge for issuing a certified copy of the article of the incorporation: 2,500JPY To Notary Public's office
- Certificate of registered seal: 250JPY To Notary Public's office
- Certificate of registered seal: 250JPY To Legal Affairs Bureau
- Registration Tax: 150,000JPY To Legal Affairs Bureau
- Certified copy of the commercial register: 7,000JPY To Legal Affairs Bureau
- Corporate representative seal: 10,000JPY To Legal Affairs Bureau
- Certificate of registered representative seal: 1,000JPY To Legal Affairs Bureau
- Affidavit of notarization: not necessary
- Confirmation of official approval and licenses: Depending on category of business, to National and Prefectural governments.
- Professional commissions for registration expenses, confirmation of approvals/licenses, and notification required by the Foreign Exchange Law: 600,000 JPY to E.J.Spence (additional to the monthly retainer fee)
TOTAL REGISTRATION EXPENSES: 821,000JPY

Your newly employed Representative in Japan, as well as E.J.Spence, will work together to garner further knowledge about your company, products, and service to start mapping out the business plan, which shall include the market survey, strategy & tactics and the recommendable form of organization to be set up in Japan to pursue your business.
Your new Representative in Japan and E.J.Spence shall make presentation of the business plan, which shall include the market survey, strategy & tactics and the recommendable form of organization to pursue your business in Japan. The newly employed Representative in Japan will always be assisted by E.J.Spence in his insufficiency of English ability and lack of knowledge in the business segments he is not familiar with. (e.g. He may have abundant skills at exploitation of new customers, but may not be good at administration, PR or on other issues.)
The drafted business plan may include an organization chart, requesting for additional Japanese personnel on specific job fields, such as sales, to achieve your targets. E.J.Spence will search and head-hunt such additionally required personnel and submit you the lists for your consideration of employment.

Upon approval by the headquarters, each business plan shall be commenced.
Process and attainments of the business plans shall always be reported, at least, on a monthly basis.
